General Terms and Conditions of Sale
In effect as of January 1st, 2026. JOUKWA reserves the right to amend these GTC at any time; the online version is authoritative.
Article 1 — Purpose
These General Terms and Conditions of Sale ("GTC") govern all industrial brokerage, sourcing, international transport, customs clearance and delivery services provided by JOUKWA to its professional (B2B) clients.
Article 2 — Scope
These GTC apply to every order placed with JOUKWA. Any order implies unreserved acceptance of these terms, which prevail over any purchasing conditions of the client, unless otherwise agreed in writing.
Article 3 — Quotes and orders
Every service is the subject of a named quote (estimated quote within 2h, final quote within 48h). The order becomes firm as soon as the signed quote is returned or the client provides written (e-mail) validation.
Article 4 — Price and payment terms
Prices are expressed in euros excluding tax. Unless otherwise stated, payment is made as follows: 70% on order (quote validation) and 30% before shipment. Payments are made by bank transfer, either directly to JOUKWA's account in France, or via our local subsidiaries or partners (Congo, DRC, Gabon, Cameroon, etc.). Any late payment incurs penalties at the increased legal rate and a flat-rate collection fee of €40.
Article 5 — Sourcing and suppliers
JOUKWA undertakes to propose a panel of qualified, audited suppliers. The final choice remains at the client's discretion. JOUKWA acts as an intermediary and cannot be held liable for manufacturing defects attributable to the supplier.
Article 6 — Transport and delivery
Delivery times are given as an indication and depend on the incoterms chosen (EXW, FOB, DAP, DDP). JOUKWA commits to T1→T7 tracking with proof of delivery (POD) sent within 2h of hand-over.
Article 7 — Customs clearance
Customs clearance operations are carried out through JOUKWA's network of approved customs brokers. Duties, taxes and customs fees remain payable by the client, except under DDP incoterm.
Article 8 — Transfer of risk
Risk transfer occurs according to the contractual incoterm (ICC Incoterms® 2020). The client is responsible for taking out any additional insurance it deems useful.
Article 9 — Claims
Any claim relating to a delivery must be made in writing within 7 business days of receipt, accompanied by the reservations noted on the delivery note.
Article 10 — Force majeure
JOUKWA cannot be held liable in the event of force majeure (disasters, conflicts, port closures, customs restrictions, pandemics) suspending or delaying services.
Article 11 — Confidentiality
The parties undertake to preserve the confidentiality of information exchanged (specifications, prices, supplier panel). This obligation continues for 3 years after the end of the contractual relationship.
Article 12 — Personal data
Data collected is processed in accordance with the GDPR. The client has the right to access, rectify and delete data by writing to teamadmin@joukwa.fr.
Article 13 — Quality and continuous evaluation
JOUKWA undertakes to continuously evaluate all its partners (suppliers, freight forwarders, customs brokers, delivery agents) on price, lead time, compliance and quality criteria. After each delivery, the client is invited to rate the service. Partners below the quality threshold are placed on an improvement plan or removed from the panel.
Article 14 — Quotation lead time
JOUKWA undertakes to provide an estimated quote within 2 hours and a final quote within 48 hours after the requirement is validated (complete RFQ: technical specifications, quantity, incoterm, delivery address). Quotes include all costs (sourcing, transport, freight, customs clearance, delivery) — zero hidden fees.
Article 15 — Applicable law and jurisdiction
These GTC are governed by French law. Any dispute shall fall under the exclusive jurisdiction of the courts within the district of JOUKWA's registered office, after an attempt at amicable resolution.
